Updated Form 990

For the first time in nearly 30 years, the Internal Revenue Service has completely revamped the Form 990, the primary annual public reporting and disclosure tool used by nonprofit organizations. Schools will be required to file the new Form 990 for their fiscal year 2008-09 filing. The radically redesigned Form 990 will have significant implications for how schools report and disclose key operational details, and also will require careful, proactive planning at the beginning of the year to avoid embarrassing or uncomfortable disclosures at year-end. Learn now how to plan for this, before the new fiscal year begins.

Participants will review the changes to the Form 990 and learn techniques to proactively plan for the pending changes minimizing the impact to your school.
Presenters Constance H. Baker practices health care and education law with a concentration in medical staff issues, regulatory compliance, physician peer reviews and the representation of health care professionals before state licensing boards. Ms. Baker advises hospitals, physicians, medical staffs, pharmacies and independent schools on various matters. Ms. Baker has represented hospitals and health care professionals in many aspects of regulatory compliance, including such matters as negotiations with the Centers for Medicare and Medicaid Services (CMS) and the Office of the Inspector General (OIG) regarding the Emergency Medical Treatment and Labor Act; negotiations with CMS regarding Medicare Conditions of Participation; negotiations with the OIG regarding exclusion from Medicare and Medicaid; and revising and terminating Hill-Burton charity care requirements. She has advised hospitals and medical staffs in conducting over a hundred physician peer review proceedings. She has advised hospitals on JCAHO compliance, patient care matters, reporting obligations regarding physicians and state and federal investigations. She serves as general counsel to several independent schools and to the leading professional association of finance officers of independent schools.
Patricia McDermott's practice focuses on a wide variety of employee benefits issues such as retirement plans, executive compensation, fringe benefits and payroll taxes. She also provides strategic advice to clients on issues requiring representation before the U.S. Congress, the Treasury Department, or the Internal Revenue Service. In her prior position as legislation counsel at the Joint Committee on Taxation, she worked closely with the House Ways and Means and Education and the Workforce Committees, the Senate Finance and Health, Education, Labor and Pensions Committees, and the Department of Treasury. She also previously worked at the IRS Chief Counsel's office, developing regulatory guidance and providing advice to other IRS offices.
Thora Johnson focuses on tax-exempt organizations, employee benefits and executive compensation matters. She advises clients on the establishment and operation of tax-exempt organizations, including private foundations, public charities, trade associations, and title holding companies. She also counsels clients on the establishment and operation of qualified and non-qualified deferred compensation plans and health and welfare benefit plans. She routinely reviews and drafts employee benefit plans, summary plan descriptions, and other employee communications and negotiates vendor contracts. She also regularly works with clients to structure comprehensive compliance programs and procedures to comply with the privacy and security requirements of HIPAA.
